Terms of Service

1. Acceptance of Terms

By accessing or using Sophia ("the Service"), operated by David Labs ("we", "us", "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you are accessing the Service on behalf of a minor, you accept these terms on their behalf and assume full responsibility for their use of the Service. By using the Service as an anonymous user, you acknowledge that voice enrollment as described in Section 4A is required for access.

2. Description of Service

Sophia is an AI-powered tutor that provides interactive voice-based learning sessions across academic subjects including but not limited to programming, mathematics, science, languages, economics, and history. The Service uses artificial intelligence to teach concepts, provide exercises, and offer personalized feedback. Sophia is not a substitute for professional education, therapy, counseling, or medical advice.

3. Age Requirements and Parental Consent

Users aged 18 and over: You may use the Service without restriction, subject to these terms.

Users aged 13 to 17: You may create an account and use the Service. Purchasing credits requires a valid payment method, which must belong to a parent or legal guardian who authorizes the purchase. By providing a payment method for a minor's account, the parent or guardian consents to the minor's use of the Service and accepts these terms on the minor's behalf.

Users under 13: In compliance with the Children's Online Privacy Protection Act (COPPA), users under the age of 13 may not create an account or use the Service without verifiable parental consent. If we determine that a user is under 13 and parental consent has not been obtained, we will suspend the account and delete all associated data. If you are a parent or guardian and wish to enable your child to use Sophia, please contact us at parents@davidlabs.ca to initiate the parental consent process.

Age verification: We may require age verification at any time, including but not limited to self-declaration during account creation and verification via payment method. Providing a false age constitutes a violation of these terms.

4. Account and Access

Access to Sophia requires authentication via Google OAuth. You are responsible for maintaining the security of your account and for all activity that occurs under your account. You must not share your account credentials with others. We reserve the right to suspend or terminate accounts that violate these terms, exhibit abusive behavior, or pose a safety risk.

4A. Voice Enrollment

Sophia uses voice enrollment to recognise returning learners and prevent abuse. For anonymous users (those not signed in with Google), voice enrollment is a condition of access to the Service. Signed-in users are not required to enroll.

Consent is obtained conversationally — Sophia asks you verbally during your first session and you respond with a clear yes or no. If you consent:

  • We record approximately 5–10 seconds of audio and derive a mathematical voice signature (not an audio file).
  • The raw audio is discarded immediately after processing. Only the signature is stored.
  • The signature is kept for 180 days of inactivity, then auto-deleted.
  • You can delete the signature at any time — signed-in users via Settings, anonymous users via /privacy/me, or by emailing privacy@davidlabs.ca.
  • Voice signatures are used to prevent the same person from creating multiple free accounts, keeping fair access for everyone.
  • We never share voice signatures with any third party.
  • We maintain a consent audit trail (prompt version, question text, your reply transcript, outcome, and audio hash) as described in our Privacy Policy §2A.

If you decline: the session will end immediately. Declining does not limit your ability to use the Service if you sign in with Google — signed-in users bypass voice enrollment entirely. See our Privacy Policy for the full technical description, retention details, and your deletion rights.

5. Credits and Payment

Sophia operates on a credit-based system. Credits are consumed during learning sessions based on session duration and engagement. Credit purchases are processed through Stripe, a third-party payment processor. By purchasing credits, you confirm that you are at least 18 years old, or that you are a parent or legal guardian authorizing the purchase for a minor.

Credits are non-refundable except where required by applicable law. Unused credits do not expire. We reserve the right to modify credit pricing with 30 days' notice to existing users.

6. Acceptable Use

You agree not to:

  • Attempt to abuse, overload, or exploit the platform
  • Share your account credentials with others
  • Use automated tools to interact with the Service without authorization
  • Attempt to circumvent safety protocols, age verification, or content moderation systems
  • Attempt to extract, reverse-engineer, or manipulate the AI system's instructions, prompts, or internal configuration
  • Use the Service to generate harmful, illegal, or abusive content
  • Impersonate another person or misrepresent your age

7. AI-Generated Content Disclaimer

Sophia's responses are generated by artificial intelligence and are intended for educational purposes only. While we strive for accuracy, the Service may provide incorrect, incomplete, or outdated information. You should independently verify any information that is critical to academic, professional, or personal decisions. David Labs makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content and is not liable for any decisions or actions taken based on such content.

8. Safety Protocols

Sophia includes automated safety protocols designed to protect users, particularly minors. These protocols may activate when the system detects indicators of distress, harm, or crisis during a session. When activated:

  • Crisis intervention resources (hotline numbers and support services) will be displayed on screen
  • The learning session may be paused to prioritize user safety
  • Session data from safety-flagged sessions is retained as an immutable record and cannot be deleted by the user
  • An internal review flag is created for the David Labs safety team — no disclosure content is shared externally

Sophia is not a crisis counselor, therapist, or emergency service. The safety protocols are designed to connect users with qualified human support services. If you are in immediate danger, please contact your local emergency services.

9. Session Data and Telemetry

We collect session telemetry data including duration, interaction patterns, exercise results, mood signals, and proficiency assessments to improve the Service and for billing purposes. Audio is streamed in real-time and is not recorded or stored after the session ends. Text transcripts of conversations may be retained. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DAVID LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER DAVID LABS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DAVID LABS' TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO DAVID LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless David Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.

12. Dispute Resolution

Any dispute arising from or relating to these terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction of David Labs' principal place of business.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Ontario, Canada for any legal proceedings arising from these terms.

14. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated via email to the address associated with your account at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
